NTT DoCoMo to Buy Stake in AT&T Wireless

TOKYO, JAPAN November 30, 2000 --- NTT DoCoMo, Inc. (NTT DoCoMo) signed today a memorandum of understanding to invest $9.8 billion to purchase the equivalent of 406 million shares (a 16% equity interest) of AT&T Wireless tracking stock and warrants to purchase the equivalent of an additional 41.7 million shares of AT&T Wireless tracking stock at $35 per share.

The alliance between NTT DoCoMo and AT&T Wireless will facilitate the rapid establishment and development of IMT-2000 next-generation mobile communications system and related mobile portal platform services in the U.S. market. The partners will jointly develop the potential-laden U.S. mobile portal platform market by leveraging AT&T Wireless's nationwide network infrastructure and NTT DoCoMo's i-mode based mobile Internet technology and related business know-how. They will also jointly promote the spread of W-CDMA technology in the U.S. market and share and jointly procure mobile Internet content.

Access to DoCoMo's advanced mobile communication technologies will enable AT&T Wireless to strengthen its competitiveness. For NTT DoCoMo, the investment is a part of an ongoing strategy to promote mobile portal platform and create new opportunities for growth of its mobile network and mobile portal platform businesses in the global marketplace.

Stock acquired: The equivalent of 406,255,889 shares (a 16% ownership interest) of AT&T Wireless tracking stock

Warrants acquired: Five year warrants to acquire the equivalent of an additional 41,748,273 shares of AT&T Wireless tracking stock at $35 per share.

Anticipated closing: Following all regulatory and other approvals, potentially as early as January 2001

Joint business highlights:
NTT DoCoMo and AT&T Wireless will jointly develop mobile Internet business in US.

  • Establishment of a wholly-owned AT&T Wireless subsidiary
  • Transfer of AT&T Wireless's data communications business, "Pocket Net," to aforementioned subsidiary
  • Mobile Internet services based on NTT DoCoMo's i-mode technology and 'know-how' using AT&T Wireless's network infrastructure (GPRS/W-CDMA)
  • HTML-subset and WML dual-browser handsets (aim to migrate into next-generation WAP)
  • Establishment of a management and technical joint advisory committee
  • DoCoMo and AT&T Wireless will appoint a mutually satisfactory CEO for the Mobile portal platform Subsidiary. NTT DoCoMo will have a right to appoint the CTO subject to approval by AT&T Wireless
